Please read these Sales and Refunds Terms (\u201cTerms\u201d) carefully, because they create a binding agreement between you (\u201cyou\u201d or \u201cUser\u201d) and Shenzhen EN Plus Tech Co., Ltd. (\u201cEN Plus\u201d), and they contain important information about your legal rights, remedies, and obligations. By purchasing EN Plus hardware or other products directly from EN Plus and indicating your assent to these Terms, you agree to be bound by these Terms. If you do not agree with these Terms, you will not be permitted to complete any purchases of products from EN Plus.<\/p>

These Terms contain a binding arbitration clause and a waiver of class action rights in section 21. The terms and conditions in section 21 affect your rights regarding resolving disputes with EN Plus. Accordingly, you should review it carefully.<\/p>

EN Plus offers an electronic vehicle charging solution for home and business users with hardware and an online service for control of charging functions of intelligent charging devices that is accessible locally on a network and remotely through the Internet via this website and a mobile application.<\/p>

1.\u00a0 Definitions<\/p>

1.1. „You“ and „your“ refer to you as the purchaser of EN Plus’s hardware or other products.<\/p>

1.2. „We,“ „us,“ and „our“ are terms that refer to Shenzhen EN Plus Tech Co., Ltd. („EN Plus“).<\/p>

2.Sales and Refund Terms<\/p>

These Terms govern only the purchase and sale of products from EN Plus through EN Plus’s website at https:\/\/www.en-plustech.com\/de (the „Website“) and any other means of direct sales.<\/p>

3.\u00a0Terms\u00a0of\u00a0Use<\/p>

Use of embedded software within hardware you purchase, EN Plus\u2019s online service for control of charging functions of intelligent charging hardware devices (the \u201cService\u201d), the Evchargo Cloud portal on the EN Plus website, or Evchargo\u2019s mobile application are not governed by these Terms. Instead, they are governed by the Terms of Use at https:\/\/www.en-plustech.com\/de\/term-condition\/ as they are amended from time to time.\u00a0<\/p>

4.\u00a0Orders<\/p>

4.1. If you order a product from EN Plus, for instance, by using its website, you agree that your order is an offer to buy, under these terms, all products listed in your order. We must accept all orders or not be obligated to sell the products to you. We may choose to only accept orders at our sole discretion, or we may not receive an order because an ordered product is unavailable and not in stock.<\/p>

4.2. After receiving your order, we will send you a confirmation email with your order number and details of the items you ordered. Your order will only be accepted once after receiving your confirmation email. You have the option to cancel your order at any time before we have sent your order confirmation email by sending an email to support@en-plus.com.cn.<\/p>

4.3. If an ordered product is unavailable or out of stock or we do not accept your order for another reason, we will inform you by email and refund any payment for the product if it was already charged.<\/p>

4.4. We are not responsible for pricing, typographical, or other errors in any offer by us, and we reserve the right to cancel any orders arising from such errors.<\/p>

4.5. EN Plus will not be responsible for the minimum differences or inaccuracies that you may perceive between the products and how they appear on the website and the products you receive, including but not limited to differences caused by problems in displaying the website, quality of the photographic reproductions, problems caused by your browser or computer, or similar. EN Plus uses reasonable care to communicate a faithful image of its products on its website.<\/p>

5.\u00a0Purchase\u00a0and\u00a0Sale\u00a0of\u00a0Products<\/p>

Once\u00a0EN\u00a0Plus\u00a0accepts\u00a0your\u00a0order,\u00a0your\u00a0purchase\u00a0of\u00a0the\u00a0ordered\u00a0products\u00a0will\u00a0be\u00a0complete,\u00a0and\u00a0EN\u00a0Plus\u00a0agrees\u00a0to\u00a0sell\u00a0you\u00a0the\u00a0products\u00a0listed\u00a0in\u00a0your\u00a0order.<\/p>

6.\u00a0Pricing\u00a0and\u00a0Payment<\/p>

6.1. The price listed on the website or those quoted via direct sales when you submit an order is the price you will pay for ordered products. Prices listed on the website or quoted via direct sales do not include taxes or the cost of shipping and handling. Taxes and the cost of shipping are shown as separate line items on your order and the confirmation email. You will be charged after your order is accepted. EN Plus accepts the following types of payment: credit or debit card, PayPal, check, or bank transfer.<\/p>

6.2. All prices posted on the website or quoted via direct sales are subject to change without notice. The fee charged for a product will be in effect when the order is placed and will be sent out in your order confirmation email. Price increases will only apply to orders placed after such changes.<\/p>

6.3. You represent and warrant that (i) the payment information you supply to us is accurate, correct, and complete, (ii) you are duly authorized to use such payment method for the purchase, (iii) charges incurred by you will be honored by your payment card issuer or payment service provider, and (iv) you will pay charges incurred by you at the posted prices, including all shipping and handling charges and applicable taxes.<\/p>

7.\u00a0Delivery\u00a0and\u00a0Shipment<\/p>

7.1. We will arrange for the ordered products to be shipped to you via a carrier as shown on the website or quoted via direct sales. The risk of loss and title for ordered products passes to you once we deliver them to the carrier.<\/p>

7.2. EN Plus estimates that shipments to locations will occur within an estimated period of fourteen (14) business days after the date of receipt of payment for parcel orders or twenty-five (25) business days for freight or LTL orders, except in cases of force majeure. Deliveries will be made on working days, from Monday to Saturday. This delivery period is only an estimate and is not a firm deadline. EN Plus is not liable for a reasonable delay beyond the estimated delivery date subject to applicable law.<\/p>

7.3. When you receive the ordered products, if you see that the packaging has been opened, please get in touch with EN Plus immediately by emailing support@en-plus.com.cn for further instructions.<\/p>

7.4. If EN Plus fails to deliver the ordered product within thirty (30) days after payment is complete, you may terminate the purchase and obtain a refund by sending an email to support@en-plus.com.cn.<\/p>

The\u00a0products\u00a0you\u00a0order\u00a0from\u00a0EN\u00a0Plus,\u00a0as\u00a0well\u00a0as\u00a0all\u00a0the\u00a0components\u00a0and\/or\u00a0constituent\u00a0parts\u00a0of\u00a0the\u00a0same,\u00a0including\u00a0but\u00a0not\u00a0limited\u00a0to\u00a0devices,\u00a0technologies,\u00a0source\u00a0code,\u00a0designs,\u00a0text,\u00a0trademarks,\u00a0logos,\u00a0videos,\u00a0and\u00a0images,\u00a0are\u00a0protected\u00a0by\u00a0intellectual\u00a0property\u00a0laws\u00a0and\u00a0rights.\u00a0EN\u00a0Plus\u00a0and\u00a0its\u00a0licensors\u00a0own\u00a0the\u00a0relevant\u00a0academic\u00a0and\u00a0industrial\u00a0property\u00a0rights\u00a0in\u00a0the\u00a0same\u00a0and\/or\u00a0have\u00a0obtained\u00a0the\u00a0applicable\u00a0authorizations\u00a0or\u00a0permits\u00a0from\u00a0the\u00a0third\u00a0parties\u00a0that\u00a0are\u00a0the\u00a0owners\u00a0thereof.\u00a0Thus,\u00a0you\u00a0shall\u00a0take\u00a0no\u00a0actions\u00a0to\u00a0violate\u00a0the\u00a0intellectual\u00a0property\u00a0rights\u00a0of\u00a0EN\u00a0Plus\u00a0or\u00a0its\u00a0licensors\u00a0or\u00a0to\u00a0challenge,\u00a0oppose,\u00a0or\u00a0interfere\u00a0with\u00a0any\u00a0applications\u00a0by\u00a0EN\u00a0Plus\u00a0or\u00a0its\u00a0licensors\u00a0for\u00a0intellectual\u00a0property\u00a0protection\u00a0in\u00a0any\u00a0of\u00a0the\u00a0same.<\/p>

11. Disclaimer of Warranties<\/p>

Except as warranted in the limited warranty referenced above in Section 9, to the maximum extent permitted by applicable law, En Plus provides the ordered products \u201cas is,\u201d En Plus makes no other warranties, express, implied, or statutory, and En Plus hereby disclaims all warranties, representations, or conditions, express or implied, including without limitation any warranties of merchantability, fitness for a particular purpose, or non-infringement. Some jurisdictions do not allow exclusions of an implied warranty, so this disclaimer may not apply to you, and you may have other legal rights that vary by jurisdiction.<\/p>

12. Limitation of Liability<\/p>

Under no circumstances whatsoever shall En Plus or its suppliers be liable for indirect, special, incidental, or consequential damages, even if En Plus or one of its suppliers has been advised of the possibility or likelihood of such damages. Except as outlined in En Plus\u2019s statement of limited warranty referenced in Section 9, En Plus shall not be liable for costs associated with the replacement or repair of the product, including, but not limited to, labor, installation, or other costs incurred by you and, in particular, any costs relating to the removal or replacement of any product. In no event shall En Plus\u2019s liability for any and all claims, losses, or damages arising out of or relating to, in whole or in part, these terms, En Plus\u2019s statement of warranty, or the ordered products, whether under contract, tort, negligence, statute, or otherwise, exceed the purchase price paid by you for the products. The preceding limitations and exclusions of damages shall apply to the maximum extent permitted by applicable law. In some jurisdictions, some exclusions or limitations may not apply to you.<\/p>

13.1.\u00a0After\u00a0installing\u00a0the\u00a0ordered\u00a0hardware\u00a0devices,\u00a0you\u00a0agree\u00a0to\u00a0register\u00a0them\u00a0through\u00a0the\u00a0Website\u00a0or\u00a0the\u00a0EN\u00a0Plus\u00a0application\u00a0by\u00a0accessing\u00a0their\u00a0registered\u00a0account.\u00a0You\u00a0must\u00a0use\u00a0the\u00a0activated\u00a0charging\u00a0point\u00a0following\u00a0the\u00a0EN\u00a0Plus\u00a0instructions\u00a0and\u00a0refrain\u00a0from\u00a0using\u00a0the\u00a0product\u00a0in\u00a0a\u00a0way\u00a0that\u00a0is\u00a0not\u00a0permitted\u00a0in\u00a0the\u00a0instructions.\u00a0<\/p>

You\u00a0must\u00a0be\u00a018\u00a0or\u00a0older\u00a0to\u00a0purchase\u00a0products\u00a0from\u00a0EN\u00a0Plus.\u00a0Our\u00a0products\u00a0are\u00a0not\u00a0intended\u00a0for\u00a0or\u00a0marketed\u00a0to\u00a0children.<\/p>

15.\u00a0Geographic\u00a0Restrictions<\/p>

The use shall be governed by the internal laws of the People’s Republic of China without affecting its conflicts of laws principles. Any controversies, disputes, and claims (collectively, \u201cclaims\u201d) arising out of or relating to these terms, the purchase of products from EN Plus, and\/or the hardware or other products purchased from EN Plus shall be settled by binding arbitration, which shall be the sole and exclusive forum for adjudicating any such claims.<\/p>

The arbitration will be administered by JAMS, Inc. according to its Comprehensive Arbitration Rules and Procedures (the \u201cRules\u201d) by a single arbitrator appointed following the Rules, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. The place of arbitration shall be Shenzhen, China. The language of the arbitration shall be Chinese.<\/p>

Nothing in these terms shall be construed to preclude EN Plus from seeking injunctive relief, damages, or other relief based on an infringement of EN Plus\u2019s intellectual property rights. The parties irrevocably consent to the jurisdiction of Shenzhen, China, to resolve any action at law or in equity not subject to arbitration arising out of or relating to these terms or brought by EN Plus under the previous sentence. To the maximum extent permitted by applicable law, no arbitration or claim under these terms by you shall be joined with any other arbitration or claim, including that of another purchaser. No class arbitration proceedings shall occur, and you waive any rights to class arbitration. You must bring any claim, action, or proceeding against EN Plus no later than two (2) years after the claim or cause of action arose.<\/p>

22.\u00a0Amendments<\/p>

EN Plus reserves the right to amend the Terms at any time by posting a new version on the website. The version of the Terms that applies to any purchase is the one in force at the time of the order. As the customer, you are responsible for reviewing the Terms every time you order products from EN Plus. You will be required to accept the current version of the Terms each time you submit an order for products.<\/p>

23.\u00a0Miscellaneous<\/p>

The terms constitute the entire agreement and understanding between EN Plus and you and supersede all prior agreements, whether oral or written, between the parties concerning the subject matter of this agreement. Except as outlined in Section 22, no amendment, modification, or waiver of any provision of this agreement shall be effective unless the same shall be in writing and signed by you and an authorized representative of EN Plus. The unenforceability of any provision or provisions of these terms shall not render unenforceable or impair its remainder. If any provision of these terms is deemed invalid or unenforceable in whole or in part, the terms shall be deemed amended to delete or modify, as necessary, the invalid or unenforceable provision to render them valid, enforceable, and, insofar as possible, consistent with the original intent of the parties. The headings in these terms are solely for the convenience of reference and shall not be given any effect in the construction or interpretation of the terms. EN Plus may assign its rights under these terms to any successor in interest. You may not assign your rights or obligations under the terms without EN Plus\u2019s advance written permission.
